1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of ChadHugo.com and any content, features, or services offered through it (collectively, the "Site"). The Site is the official website of Charles Hugo p/k/a “Chad Hugo” and is operated by Galaxie Records, LLC , a Virginia limited liability company ("we," "us," or "our").

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 13 years old to use the Site. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian. By using the Site, you represent that you meet these requirements.

Our Content

All content on the Site — including musical compositions and sound recordings, lyrics, artwork, photographs, videos, graphics, logos, text, page design, and the Site's overall look and feel — is owned by Chad Hugo, Galaxie Records LLC, Chase Chad Music, Inc., or our affiliates and licensors, and is protected by United States and international copyright, trademark, and other intellectual property laws.

"Chad Hugo," "Galaxie Gear," “Galaxie Records” and associated names, logos, and marks are trademarks or service marks of their respective owners. Nothing in these Terms grants you any right to use them.

Limited License to You

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use. This license does not permit you to:

Reproduce, distribute, publicly perform, publicly display, or create derivative works from Site content, except as expressly permitted by us in writing or as allowed under applicable copyright exceptions
Download, rip, record, or redistribute audio or video hosted or streamed on the Site
Use Site content in any commercial context, including in advertisements, merchandise, NFTs, or AI training datasets
Remove, obscure, or alter any copyright, trademark, or other proprietary notice
Frame, mirror, or otherwise present the Site as your own

Sampling, Remixes, and Sync Requests

Requests for sample clearances, remix approvals, synchronization licenses, interview requests, and other permissions must be submitted in writing to the contact e-mail below. No permission is granted unless and until we confirm it in a signed writing.

4. Acceptable Use

You agree not to:

Use the Site for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to the Site, its servers, or any related systems
Introduce viruses, malware, or other harmful code
Use bots, scrapers, spiders, crawlers, or other automated means to access, collect data from, or index the Site without our prior written permission
Interfere with or disrupt the Site's operation or place unreasonable load on its infrastructure

Impersonate Chad Hugo, our team, or any other person or entity
Harvest email addresses or other contact information from the Site
Reverse engineer or attempt to derive the source code of the Site

We may investigate and take appropriate legal action against anyone who violates this section, including blocking access and reporting conduct to law enforcement.

5. Mailing List and Communications

If you subscribe to our mailing list, you consent to receive email from us about music releases, projects, events, merchandise, and related news. You may unsubscribe at any time using the link in any email or by contacting us. You represent that any email address you submit is yours or that you have authorization to submit it.

6. User Submissions

If you send us ideas, demos, music, artwork, comments, suggestions, or other materials ("Submissions"), whether solicited or unsolicited:

You grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, and display the Submission in connection with the Site and our activities
You represent that you own or control all rights in the Submission and that it does not infringe anyone's rights
We have no obligation to review, keep confidential, credit, compensate you for, or return any Submission

We may develop or acquire materials that are similar or identical to your Submission, and you waive any claim arising from that

Please do not send unsolicited materials, including, but not limited to, demos, beats, creative material, ideas, music, artwork, suggestions, comments, or other materials. Please do not send any materials at all. We cannot accept confidentiality obligations for unsolicited submissions.

7. Third-Party Links, Stores, and Services

The Site links to and embeds content from third-party platforms, including streaming services, video platforms, social media, ticketing providers, and online stores. Those services are operated by others and governed by their own terms and privacy policies. We do not control, endorse, or assume responsibility for third-party content, products, or practices. Any purchase you make through a third-party store is a transaction between you and that merchant, and we are not a party to it.

8. Availability and Changes to the Site

We may modify, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee that the Site will be available uninterrupted, error-free, or secure. Content, release information, tour dates, and product availability are subject to change.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ON THE SITE MAY CONTAIN ERRORS OR OMISSIONS.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER CHAD HUGO NOR GALAXIE RECODS LLC NOR OUR OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

You agree to defend, indemnify, and hold harmless Chad Hugo, Galaxie Records LLCi, and our officers, members, employees, agents, affiliates and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Site, your Submissions, or your violation of these Terms or any applicable law.

12. Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe content on the Site infringes your copyright, send a written notice to our designated agent containing:

1. Your physical or electronic signature

2. Identification of the copyrighted work you claim has been infringed

3. Identification of the material you claim is infringing, with enough detail for us to locate it

4. Your contact information, including address, telephone number, and email address

5. A statement that you have a good-faith belief the use is not authorized by the

6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

13. Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason (other than a reason that is in violation of the law), including if we believe you have violated these Terms. Sections 3, 6, 9, 10, 11, 14, and 15 survive any termination.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules.

You and we agree that any lawsuit or proceeding will be brought exclusively in the state or federal courts located in Virginia Beach, Virginia, and you consent to the personal jurisdiction of those courts and waive any objection based on venue or inconvenient forum.

Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least 30 days.

Any claim must be brought within one (1) year after the claim arises, or it is permanently barred, to the extent permitted by law.

You and we agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class or representative proceeding.

15. General Provisions

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Site and supersede any prior agreements.

Severability. If any provision is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions remain in full force.

No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.

Headings. Section headings are for convenience only and have no legal effect.
